General Conditions of Sale

1. Introduction

Emudesign S.r.l. (VAT no. 01777070432), with registered office at Via Zavatti 8, 62012 Civitanova Marche (MC), Italy (hereinafter "Emudesign", "we", "us" or "our"), produces and distributes footwear (the "Products") to customers in Italy, Europe and worldwide through the e-commerce store at www.hyusto.com (the "Website").

These General Conditions of Sale (the "Conditions") govern the distance sales contract under which Emudesign agrees to sell the Products to you. For consumers, the contract is concluded at a distance pursuant to Article 45 et seq. of Legislative Decree no. 206 of 6 September 2005 (the "Consumer Code"). A consumer is a natural person acting for purposes unrelated to any business, commercial, professional or craft activity. For non-consumers, the contract is instead governed by Article 1470 et seq. of the Italian Civil Code.

Provisions that expressly refer to consumers — in particular the rules under Article 49 et seq. of the Consumer Code, together with any further protections granted by law — apply to consumers only.

2. Eligibility

Purchases are reserved to Website users, whether consumers or non-consumers, who are aged 18 or over and have the legal capacity to enter into a sales contract.

You are asked to read these Conditions before completing a purchase. By submitting an order, you confirm that you have read, understood and fully accepted these Conditions. No different term applies unless agreed with us in writing beforehand.

3. Orders & Contract

The publication of Products on the Website is an invitation for you to submit an order, not a public offer under Article 1336 of the Italian Civil Code. Emudesign may accept or decline any order at its discretion.

To place an order, you register on the Website by completing the electronic form with accurate personal data. Your account credentials are confidential: keep them secure and do not share them with third parties. A confirmation email is sent to you once registration is complete.

You then select one or more Products, add them to your cart, and review its contents at any time before ordering. When you click "complete order", your order is submitted and can no longer be modified, and you undertake to pay the amount due.

Once the contract is performed, you receive written confirmation by email detailing the Product ordered, the price, duties and shipping costs, the time limits and methods for returning the goods, and the contacts for complaints or information on the applicable guarantees.

If we are unable to accept your order, we will tell you directly. Non-acceptance entails no liability for Emudesign. Where an order is not accepted, we refund any amount already paid within 30 days of the order, using the same payment method. The contract is not valid until Emudesign has full access to the amount due.

4. Product Availability

Products are available while stocks last and are subject to availability at the time of purchase. We may change the quantity or type of goods available at any time.

Although we keep our systems constantly updated, a Product may occasionally be shown as available when it is not. In that case, we will inform you promptly and refund any amount paid as swiftly as possible, and in any event within 30 days of your order, using the same payment method.

If an order includes several Products and some are unavailable, we will contact you within 30 days to confirm whether you accept a partial order. If we cannot reach you, the order will be cancelled and any excess amount refunded within the same period.

5. Prices & Payment

Prices on the Website are in euros (€) and include VAT. The total amount payable — Product price, shipping, duties and taxes — is shown before you submit your order.

We may change Product prices at any time; changes never apply to orders already submitted. While we check that all prices are correct, we cannot guarantee the absence of errors. Where a pricing error is found, we will give you the option to reconfirm the order at the correct price or to cancel it; if cancelled, any amount paid is refunded within 30 days using the same payment method. Emudesign is not obliged to sell at an incorrect price where the error could reasonably have been recognised. We may also offer special conditions or promotions, governed as specified from time to time. A receipt is issued for every order shipped. Welcome codes apply to Collection items only, unless otherwise stated. Previous Editions and Final Pairs are excluded

Payment methods. You may pay by credit card, PayPal, Amazon Pay or Apple Pay. Products in a single order cannot be delivered to different addresses or paid using different methods. Card payments are processed online by the relevant bank through Stripe and Shopify Payments. PayPal, Amazon Pay and Apple Pay are managed by the respective providers under their own terms.

Card payments. All financial information (card number, expiry date and so on) is handled directly by the bank, which secures the transaction. Emudesign never accesses or stores your card details. Your card is charged when you submit your order, only after the card data has been verified and the issuer has authorised the debit.

System availability. Emudesign is not liable for malfunctions attributable to the transmission system operator.

6. Shipping & Delivery

Orders ship within 1–2 business days from the date the order is processed. Orders placed from Friday to Sunday are processed on Monday. Once your order ships, you receive an email with a tracking link; if no tracking number arrives, please check your spam folder or contact us at info@hyusto.com.

All Products are shipped by a courier selected by Emudesign from our warehouse in Civitanova Marche (MC), Italy. Deliveries are made Monday to Friday, excluding public holidays. For security reasons, we do not deliver to P.O. boxes.

Europe B: Albania, Andorra, Belarus, Bosnia and Herzegovina, Canary Islands, Faroe Islands, Gibraltar, Guernsey, Iceland, Jersey, Kosovo, Liechtenstein, Moldova, Montenegro, North Macedonia, Norway, Serbia, Switzerland, Turkey, Ukraine.

Express shipping can be requested at info@hyusto.com. If a parcel is refused or not collected after three delivery attempts, any import, return or shipping fees incurred in returning it to our warehouse will be deducted from any eventual refund.

Passing of risk. For consumers, pursuant to Article 63 of the Consumer Code, the risk of loss or damage passes to you (or to a third party you designate, other than the carrier) when you take physical possession of the goods. For non-consumers, risk passes when Emudesign hands the Product to the carrier.

Delays and force majeure. Save for force majeure, Products are delivered within 30 days starting the day after the order is submitted. If we are unable to deliver, we will inform you within 30 days and refund any amount paid within the same period. Emudesign is not liable for unforeseeable delays where it has promptly informed you. If force majeure persists for more than 30 days, either party may withdraw from the contract, and you will be entitled to a refund of any amount already paid.

Complaints on delivery. On receiving the Products, please check that the number of packages matches the transport document and that the packaging is intact and not damaged, wet or altered. Any damage or discrepancy must be noted immediately by writing "accepted with reservation" on the courier's proof of delivery. Once you sign without reservation, you may no longer object to the external condition of the delivery.

7. Duties & Taxes

All our shipments are DDP (Delivered Duty Paid): all applicable import duties and taxes are calculated and included at checkout and paid by Emudesign on your behalf. There are no additional customs charges to pay on delivery.

For orders shipped within the European Union, no customs duties apply. For all other destinations, any applicable duties and taxes are shown and charged at checkout, and you will never be asked to pay further duties on delivery.

8. Returns & Right of Withdrawal

Statutory right of withdrawal (consumers). In accordance with Articles 52 et seq. of the Consumer Code, if you are a consumer you may withdraw from the contract within 14 days of delivery (or of delivery of the last Product in a multi-item order), without giving any reason and without any approval being required. This is a statutory right and is unconditional.

HYUSTO commercial return window. In addition to the statutory right, HYUSTO offers an extended commercial return window of 30 days from delivery, as described in our Return Policy. Returns under this commercial window are reviewed and approved by Emudesign and are subject to the conditions set out below.

How to return. You may start a return or exchange from your account at account.hyusto.com, or exercise your statutory right of withdrawal by a clear statement sent by email to info@hyusto.com or by registered mail to Emudesign S.r.l., Via Zavatti 8, 62012 Civitanova Marche (MC), Italy, stating your name, surname and order number. You may withdraw from one or more of the ordered Products.

Once a return is confirmed, send the goods back within 14 days in their original packaging, complete with all contents, using a trackable and insured shipment. Returns that do not follow this procedure cannot be accepted.

Return shipping costs. For the HYUSTO commercial return window, return shipping is charged to you and deducted from the final refund, per pair:

Returns of faulty or incorrect items are free of charge. Where a consumer exercises the statutory right of withdrawal in the EU/UK, Emudesign refunds the Product price together with the original standard delivery cost, as required by law.

9. Refunds

In the case of withdrawal, Emudesign refunds the amounts due within 14 days of receiving your notice of withdrawal, using the same payment method used for the purchase. We may withhold the refund until we have received the returned goods, or until you have shown that the goods were sent back on time, whichever is earlier.

Your responsibility for returned goods. You are responsible for any diminished value of a Product resulting from handling beyond what is necessary to establish its nature, characteristics and functioning; where the value has decreased, Emudesign reserves the right to claim damages. In the case of a faulty Product, you have the right to terminate the contract but must return the Product substantially intact. Emudesign is not liable for refunding Products lost, stolen or damaged in return transit where you did not use a trackable, insured shipment.

10. Legal Warranty

All Products in the "consumer goods" category sold through the Website are covered by the legal guarantee of conformity under Articles 128–135 of the Consumer Code. This guarantee is reserved to consumers.

In the case of a conformity defect, you are entitled to have the goods brought into conformity at no cost — choosing between repair or replacement — or, where applicable, to an adequate price reduction or termination of the contract, in accordance with the Consumer Code. To rely on the legal guarantee, contact us at info@hyusto.com and we will guide you through the procedure.

Non-consumer Customers may rely on the warranty for defects under the Italian Civil Code (Article 1490 et seq.), with the related terms and limitations.

11. Limitation of Liability

Emudesign aims to keep the Website constantly updated but cannot guarantee that it is free from errors, including typographical errors or omissions relating to price, availability or Product information. We reserve the right to correct such errors, even after an order has been submitted, and to change or update information at any time without prior notice.

Emudesign is not liable for malfunctions attributable to the transmission system operator, nor for delays or non-delivery where it has promptly informed you that the Products are unavailable.

12. Governing Law

These Conditions are governed by Italian law. Emudesign may amend them at any time; amendments take effect once published on the Website and do not affect sales concluded beforehand.

For any dispute between Emudesign and a consumer concerning the interpretation or performance of these Conditions, the court of the consumer's place of residence or domicile has exclusive jurisdiction. Emudesign may assign to third parties all or part of the rights and obligations arising from this contract.

Severability. If any clause of this contract becomes wholly or partially null, void or ineffective, it shall be deemed modified to the minimum extent necessary to align it with applicable law and the parties' intent, without prejudice to the validity of the remaining clauses.
